<p class="wp-block-paragraph"><strong>Toronto, Ontario – July 27, 2026 – Rock Tech Lithium Inc. (&#8220;Rock Tech&#8221; or the &#8220;Company&#8221;) (TSX-V: RCK) (OTCQX: RCKTF)</strong> is pleased to announce that it has signed a binding long-term offtake agreement dated July 24, 2026, with Transamine SA (“Transamine”), a Geneva-based global commodity trading house, for spodumene concentrate produced at the Company’s wholly owned Georgia Lake project (“Georgia Lake”) in Ontario, Canada. The agreement supports a long-term commercial pathway for Georgia Lake while reflecting growing market confidence in Rock Tech&#8217;s integrated Ontario strategy. The agreement currently contemplates deliveries beginning in 2028, subject to the contractual delivery provisions and any adjustments agreed by the parties following completion of the definitive feasibility study.</p>



<p class="wp-block-paragraph">The agreement marks another important step in advancing Rock Tech&#8217;s integrated Ontario lithium supply chain: it secures long-term commercial pathway for full planned production of an estimated minimum of 100,000 dry metric tonnes per year of spodumene concentrate from Georgia Lake&#8217;s while maintaining flexibility for the Company to capture additional value through domestic lithium conversion. The agreement also provides a framework for a development prepayment facility of up to US$80 million to support the Georgia Lake Project.</p>



<p class="wp-block-paragraph"><strong>Binding Offtake for Georgia Lake Concentrate</strong></p>



<p class="wp-block-paragraph">Under the agreement, Transamine will purchase spodumene concentrate from Rock Tech over an initial term of seven years, starting in 2028, which may be renewed annually by mutual agreement for up to five additional years. Contracted volumes ramp from 50,000 dry metric tonnes during the first year of deliveries to 100,000 dry metric tonnes annually thereafter, subject to a ±10% tolerance in favour of Rock Tech and terms and conditions of the agreement. The quantities and timeline will be reviewed and mutually adjusted based on the results of the definitive feasibility study.</p>



<p class="wp-block-paragraph">Pricing references the Fastmarkets spodumene concentrate benchmark (min. 6% Li₂O, CIF China), adjusted for delivered grade. The agreement incorporates a qualified floor price subject to specified resale-market, inflation-adjustment and project-financing provisions.</p>



<p class="wp-block-paragraph"><strong>Option to Convert into Battery-Grade Lithium Chemicals</strong></p>



<p class="wp-block-paragraph">The agreement is structured to support Rock Tech’s integrated Ontario mine-to-conversion strategy. Should Rock Tech determine that the concentrate is required for its Red Rock Converter, the parties will convert the arrangement into an offtake for battery-grade lithium hydroxide monohydrate and/or battery-grade lithium carbonate, subject to a mutually agreed amendment establishing the applicable specifications, conversion mechanism, pricing, delivery schedule and other terms. Transamine’s take-or-pay commitment continues through and after any such conversion, adjusted for the applicable product, price and delivery terms.</p>



<p class="wp-block-paragraph">This flexibility allows Rock Tech to sell spodumene concentrate while preserving the option to supply converted lithium chemicals to battery and cathode customers when the planned Red Rock Lithium Converter is developed and commissioned.</p>



<p class="wp-block-paragraph">“This agreement demonstrates how Rock Tech is turning critical minerals ambition into execution,” said <strong>Mirco Wojnarowicz, Chief Executive Officer of Rock Tech</strong>. “It provides a long-term, commercial foundation for the Georgia Lake mine’s future production, strengthens our financing pathway, and – together with the prepayment facility – brings us another step closer to building the integrated mine-to-converter platform with the flexibility to convert raw material into battery-grade lithium chemicals through our Red Rock Lithium Converter. Together with the prepayment facility, the agreement brings us another step closer to building an integrated mine-to-converter platform and supporting a stable, secure supply of battery-grade lithium for Canada and its allies.”</p>



<p class="wp-block-paragraph"><strong>Up to US$80 Million Development Prepayment Facility</strong></p>



<p class="wp-block-paragraph">To support Georgia Lake project, the agreement provides for a framework for a development prepayment facility of up to US$80 million. The prepayment carries interest at three-month CME Term SOFR plus 2.95% per annum, accruing quarterly, and would be repaid by set-off against concentrate deliveries over a 24-month period beginning with first delivery. Any amount outstanding after that period would become due and payable in cash.</p>



<p class="wp-block-paragraph">The exact amount and terms of the prepayment will be documented separately and agreed once the definitive feasibility study is complete. Availability of the facility is subject to the satisfaction (or waiver by the buyer) the following conditions precedent:</p>



<ul class="wp-block-list">
<li>full project equity financing committed</li>



<li>all material permits, licences, land access rights and environmental approvals in place</li>



<li>no material adverse change</li>



<li>legal, financial and technical due diligence satisfactory to the buyer</li>



<li>no unresolved title, land, litigation, environmental or community matter that could delay production</li>



<li>final assays, impurity profile, metallurgical test work and product specifications available and satisfactory to the buyer.</li>
</ul>

<p class="wp-block-paragraph"><strong>From Strategy to Execution</strong></p>



<p class="wp-block-paragraph">Dear Friends and Shareholders,</p>



<p class="wp-block-paragraph">Four weeks ago, I wrote to you that Canada changes everything. This letter is going to be shorter, because the update is simple: we are executing on what we promised, and the environment around us is moving in the same direction as our strategy. Allied governments, including Canada and Germany, and industrial partners are increasingly recognizing the importance of exactly the kind of projects we are building.</p>



<p class="wp-block-paragraph"><strong>1. Red Rock: The DFS Has Started</strong></p>



<p class="wp-block-paragraph">We have commenced the Definitive Feasibility Study (“DFS”) for the Red Rock Converter, the most important technical milestone on the path to a final investment decision. The DFS is designed to support bankability — engineering depth comparable to FEL3, with a capital cost accuracy of +/-10%.&nbsp; Early engineering and value-engineering work indicate a credible pathway to materially lower capital costs than assumed in the 2024 Scoping Study. The completed DFS will validate those improvements.</p>



<p class="wp-block-paragraph"><strong>2. Georgia Lake &amp; Victory: Building the Ontario Resource Base</strong></p>



<p class="wp-block-paragraph">Georgia Lake is the upstream foundation of our made-in-Ontario mine-to-converter strategy. It is an increasingly important strategic asset as Ontario builds domestic critical minerals processing capacity. Georgia Lake combines what few spodumene projects in Ontario can offer at the same time: advanced permitting, a completed PFS, and outstanding infrastructure, grid power and direct access to the Trans-Canada Highway. This combination positions Georgia Lake to be first to market among Ontario&#8217;s spodumene projects. And we are working on the first offtake agreement. The second half of 2026 is about growing it on both axes — resource size and project economics:</p>



<ul class="wp-block-list">
<li><strong>Drilling. </strong>A drill program is planned for the second half of 2026. The program is designed to materially expand the current ~15 million-tonne resource and test the potential for new discoveries across the roughly 90% of the property that remains unexplored. <em>“</em>Based on historical drill results and geological continuity, we expect the resource to grow toward 30 million tonnes” says our General Manager Canada, Cameron Andrews.  <em> </em></li>



<li><strong>DFS. </strong>The Georgia Lake DFS contract award is targeted for late August. A key workstream is validating the ore-sorting results we published in May — waste rejection of 25–45% before processing, a pathway to reduce crushing and concentrator capital by up to 50%, and operating cost reductions of approximately 20%. If the DFS confirms these results, Georgia Lake becomes one of the lowest-capital-intensity spodumene projects in North America.</li>
</ul>



<p class="wp-block-paragraph">In June, we acquired an option to earn a 100% interest in the Victory Project, a 9,875-hectare lithium exploration property near Kenora from Bounty Gold Corp. and Last Resort Resources Ltd. Victory hosts two known spodumene-bearing pegmatite systems with high-grade surface sampling of up to 5.11% Li₂O and neither has ever been drill tested. Initial exploration later this year will focus on mapping, sampling and targeted drilling to evaluate what we believe could become another meaningful source of feedstock for our Ontario platform.</p>



<p class="wp-block-paragraph">“Our pre-acquisition technical review indicates that an exploration target in excess of 50 million tons could be possible, if drilling is successful”, adds Cameron Andrews.</p>



<p class="wp-block-paragraph">The logic is straightforward. A converter without captive feedstock is permanently exposed to spot markets. We are building an Ontario resource base — mine, exploration and land consolidation pipeline, and converter within one province, one jurisdiction, one supply chain. Every metric tonne of resource we add strengthens the long-term competitiveness and economics of the entire platform.</p>



<p class="wp-block-paragraph"><strong>3. Canada Is Moving — Fast</strong></p>



<p class="wp-block-paragraph">Since my last letter, the policy environment has accelerated. Federal and provincial governments are increasingly recognizing that securing critical minerals and shoring up allied supply chains requires domestic processing capacity.</p>



<ul class="wp-block-list">
<li>The federal government launched the <strong>Canada Critical Minerals Accelerator</strong>, a CAD 2 billion fund making equity investments, loan guarantees, and offtake agreements to bring projects to FID faster and signed its first agreement within days of launch. These instruments map directly onto our GP/LP structure.</li>



<li>The <strong>First and Last Mile Fund</strong> provides CAD 1.5 billion for mining and enabling infrastructure through 2030.</li>



<li>Canada&#8217;s new <strong>Defence Industrial Strategy</strong> enables the stockpiling of critical minerals under the Defence Production Act. Lithium is now formally a security asset.</li>



<li>In <strong>Ontario</strong>, our application under the province&#8217;s CAD 500 million Critical Minerals Processing Fund continues to advance through the review process, with the assessment now moving toward its later stages. The province has additionally committed nearly CAD 3.1 billion to support Indigenous participation and ownership in the critical minerals supply chain. This is directly relevant to the partnerships we are building with First Nation communities connected to our projects.</li>



<li>A small but telling proof point: Ontario&#8217;s <strong>Critical Minerals Innovation Fund </strong>awarded Rock Tech another funding; this time CAD 262,500 to validate crude tall oil, a forestry byproduct, as a low-emission flotation reagent — connecting lithium processing to Ontario&#8217;s forestry sector. We shared this announcement with Ontario’s Associate Minister of Forestry and Forest Products, Kevin Holland, last week.</li>
</ul>

<p class="wp-block-paragraph">Canada has a bold vision, backed by government policies and action, to become the preferred supplier of responsibly sourced critical minerals and set the foundation for its mine-to-converter strategy. The entire North American supply chain is now being assembled in real time.</p>



<p class="wp-block-paragraph"><strong>4. Guben</strong></p>



<p class="wp-block-paragraph">Guben remains fully permitted, shovel-ready, and strategically valuable. Strategic investor discussions are advancing on the disciplined terms I described in my letter from June. We are also advancing our internal work on establishing a R&amp;D hub as the anchor of our lithium conversion IP — the knowledge base every future converter is built on.</p>



<p class="wp-block-paragraph">The next months are about delivery: DFS milestones, drill results, and financing steps. I look forward to reporting on each.</p>

<p class="wp-block-paragraph"><strong>CMIF-supported project with Thunder Bay Pulp and Paper and Queen’s University to evaluate locally sourced crude tall oil as a potential flotation reagent for lithium processing</strong><strong></strong></p>

<li>Ontario&#8217;s Critical Minerals Innovation Fund has awarded Rock Tech $262,500 to evaluate and validate the use of locally-sourced crude tall oil, a by-product of Ontario&#8217;s pulp and paper sector, as a potential flotation reagent for lithium processing, supporting supply chain development and cross-sector collaboration.</li>



<li>The project will be completed in collaboration with Thunder Bay Pulp and Paper and Queen’s University, bringing together Ontario-based industrial supply, critical minerals development and research expertise.</li>



<li>The project aims to connect Ontario’s forestry and critical minerals sectors by creating a potential new market for forestry-derived products in lithium processing.</li>



<li>The project is intended to evaluate whether locally sourced crude tall oil could support more localized reagent supply, provide data for future technical and economic optimization work and reduce reliance on imported or conventional processing inputs.</li>



<li>The project is intended to evaluate whether locally sourced crude tall oil could, if successfully validated, support more localized and potentially lower-emission battery and critical minerals supply chains, including supply chains relevant to advanced manufacturing and energy storage applications, support future technical and economic optimization work and reduce reliance on imported or conventional processing inputs.</li>



<li>The initiative supports Rock Tech&#8217;s broader Ontario mine-to-converter strategy, including the Georgia Lake Lithium Project and the proposed Red Rock Lithium Converter, strengthening a made-in-Ontario critical minerals supply chain while creating new opportunities across multiple sectors of the provincial economy.</li>



<li>This marks Rock Tech’s second CMIF-supported initiative, following its previously announced ore sorting program, which identified a potential pathway to reduce future crushing and concentrator capital costs by up to 50% based on preliminary test work on representative Georgia Lake material and subject to further engineering, validation and integration into future technical studies.</li>



<li>This project will also evaluate further opportunities to improve efficiency, reduce operating costs and strengthen the economics of the Georgia Lake Project.<br><br></li>

(&#8220;Rock Tech&#8221; or the &#8220;Company&#8221;) (TSX-V: RCK) (OTCQX: RCKTF)</strong> is pleased to announce that it has been awarded $262,500 through Ontario&#8217;s Critical Minerals Innovation Fund (&#8220;CMIF&#8221;) to evaluate the use of crude tall oil, a by-product of Ontario&#8217;s pulp and paper industry, as potentially locally sourced &nbsp;flotation reagent for lithium processing.</p>



<p class="wp-block-paragraph">Crude tall oil may have potential application in mineral flotation processes used during processing to separate lithium-bearing minerals from waste rock, with the objective of improving processing efficiency while supporting a more localized supply chain by leveraging a pulp and paper by-product. This by-product produced by Ontario’s pulp and paper sector and could serve as a new way for Ontario’s pulp and paper industry to monetize this output while enhancing the sustainability and affordability of lithium processing in Ontario, if successfully validated and incorporated into future project design.<br><br>Similar to Rock Tech’s recently announced completion of its CMIF-supported ore sorting program (refer to Press Release – Rock Tech Advances Georgia Lake Lithium Project, Identifies Potential Pathway to Reduce Processing CAPEX by Up to 50 per cent, dated May 19, 2026), this project is designed to evaluate whether locally sourced crude tall oil could support future processing efficiency, reduce reliance on imported or conventional reagents and inform future cost-optimization work for the Georgia Lake Project.<br><br><strong>Strengthening Ontario&#8217;s Critical Minerals Supply Chain Through Innovation</strong></p>



<p class="wp-block-paragraph">The project arrives at an important moment for Ontario&#8217;s critical minerals sector, as the Province of Ontario has identified the development of domestic critical minerals supply chains as a strategic priority, including supply chains supporting advanced manufacturing and energy storage.<a href="#_ftn1" id="_ftnref1">[1]</a></p>



<p class="wp-block-paragraph">The use of crude tall oil as a flotation reagent represents an opportunity to connect two strategically important Ontario industries. By evaluating whether a by-product from the province&#8217;s forestry sector can be utilized in lithium processing, the project seeks to improve the sustainability and competitiveness of domestic critical minerals production while creating additional value from existing industrial supply chains.</p>

<p class="wp-block-paragraph"><strong>Toronto, Ontario – June 22, 2026</strong> –<strong> Rock Tech Lithium Inc. (“Rock Tech” or the “Company”) (TSX-V: RCK) (OTCQX: RCKTF</strong>) is pleased to announce that it has entered into an option agreement dated June 17, 2026 (the “<strong>Option Agreement</strong>”) with Bounty Gold Corp. (“<strong>Bounty</strong>”) and Last Resort Resources Ltd. (“<strong>Last Resort</strong>”) to acquire a 100% interest in the Victory Project (the “<strong>Victory Project</strong>”, the “<strong>Project</strong>” or the “<strong>Property</strong>”), a 9,875-hectare lithium exploration property located approximately 45 km east of Kenora in Northwestern Ontario. If exploration is successful and subject to further technical evaluation, the Victory Project could represent a potential future source of lithium-bearing minerals for Rock Tech&#8217;s planned made-in-Ontario lithium supply chain, supporting the province’s EV and battery ecosystem and its emerging advanced manufacturing and defence sectors.</p>



<p class="wp-block-paragraph">Victory complements the Company&#8217;s Georgia Lake Project and proposed Red Rock Converter by adding an additional exploration-stage lithium property to the Company&#8217;s Ontario asset portfolio. The Property hosts two known spodumene-bearing lithium-cesium-tantalum (“<strong>LCT</strong>”) pegmatite occurrences at surface and is located near the Trans-Canada Highway and nearby CPKC rail access. Rock Tech believes the Property provides prospective exploration opportunities and, if successfully advanced, could represent a potential future source of spodumene feedstock for the Company’s broader Ontario mine-to-converter strategy, subject to successful exploration and further technical evaluation.</p>



<p class="wp-block-paragraph">Developing domestic sources of lithium feedstock is increasingly important as Ontario, Canada and allied economies seek to build secure, domestic critical minerals supply chains. By combining exploration and development opportunities with downstream conversion capacity, Rock Tech aims to help reduce dependence on overseas processing while supporting the growth of a secure North American lithium supply chain serving the EV and battery ecosystem and helping supply critical materials required by emerging advanced manufacturing and defence sectors.</p>



<p class="wp-block-paragraph"><strong>Exploration Potential in an Infrastructure-Proximal Setting</strong></p>



<p class="wp-block-paragraph">The Victory Project hosts two known spodumene-bearing pegmatite occurrences: the Last Resort pegmatite and the Bounty pegmatite. These occurrences contain observed spodumene-bearing pegmatite mineralization at surface and provide multiple targets for future exploration.</p>



<p class="wp-block-paragraph">The Last Resort pegmatite is the Company’s initial priority target. Selective grab sampling from the occurrence has returned values of up to 5.11% Li₂O. The occurrence has been mapped at surface over approximately 200 metres of strike length and up to approximately 30 metres in width. The occurrence has not been drill-tested, and the extent of mineralization beyond the currently mapped exposure, including its depth extent, grade continuity and overall geometry, has not been established. Additional exploration, including drilling, will be required to evaluate the extent, continuity and significance of the observed mineralization.</p>



<p class="wp-block-paragraph">The Bounty pegmatite, located approximately 6 km from the Last Resort pegmatite, has been mapped at surface over approximately 375 metres of strike length and up to approximately 60 metres in width. Spodumene-bearing samples from the Bounty occurrence have returned values of up to 3.48% Li₂O. The occurrence has not been drill-tested, and its depth extent, grade continuity and overall geometry have not been established.</p>



<p class="wp-block-paragraph">The approximately 6 km linear area between the two known spodumene-bearing occurrences remains largely unexplored and will be evaluated through future exploration programs. Rock Tech intends to evaluate this corridor through staged fieldwork, including prospecting, geological mapping, sampling and, subject to results, targeted drilling. While mineralized continuity between the Last Resort and Bounty occurrences has not been established, the corridor represents a logical focus for future exploration.</p>



<p class="wp-block-paragraph"><strong>Strategic Fit Within Rock Tech’s Ontario Lithium Platform</strong></p>



<p class="wp-block-paragraph">Rock Tech’s Ontario strategy is anchored by the Georgia Lake Project and the proposed Red Rock Converter. The addition of the Project provides the Company with additional exposure to lithium exploration opportunities in Northwestern Ontario and complements its existing asset base in the province.</p>



<p class="wp-block-paragraph">The Georgia Lake Project and the Victory Project are separate mineral properties. Information, mineralization, mineral resources, mineral reserves and exploration results relating to the Georgia Lake Project are not necessarily indicative of mineralization, exploration potential or future results at the Victory Project.</p>



<p class="wp-block-paragraph">Victory fits within Rock Tech’s broader strategy of building a regional lithium platform around infrastructure-proximal assets that can be integrated into Ontario’s existing transportation network. Similar to Georgia Lake, the Victory Project benefits from proximity to established road and rail infrastructure, including the Trans-Canada Highway and nearby CPKC rail access. These characteristics are important to Rock Tech’s development approach, which is focused on identifying assets that can be evaluated through staged exploration programs and, if warranted by future exploration results and technical studies, considered for further advancement.</p>



<p class="wp-block-paragraph">The Project is located approximately five hours by road from Rock Tech’s proposed Red Rock Converter, creating a geographic connection within the Company’s Ontario mine-to-converter strategy. If future exploration is successful and subsequent technical studies support further advancement of the Project, Victory may provide Rock Tech with additional optionality around future spodumene feedstock supply. Potential development and processing alternatives, including off-site processing, integration with existing or future regional infrastructure, or other project-specific pathways, would be evaluated only after additional exploration, technical studies and metallurgical testwork.</p>



<p class="wp-block-paragraph">The acquisition of Victory reflects Rock Tech&#8217;s disciplined approach to building a regional lithium platform in Northwestern Ontario. By securing prospective lithium assets located near existing infrastructure and within reach of the proposed Red Rock Converter, the Company continues to strengthen the foundations of a made-in-Ontario critical minerals supply chain capable of supporting future battery and advanced manufacturing industries.</p>

This strategic acquisition gives Rock Tech exposure to a prospective spodumene-bearing property with strong infrastructure attributes, while the option structure allows us to test the project through staged exploration before committing the majority of the acquisition consideration.”</p>



<p class="wp-block-paragraph"><strong>Transaction Terms</strong></p>



<p class="wp-block-paragraph">Under the Option Agreement, Rock Tech may acquire a 100% interest in the Victory Project by making aggregate payments of CAD $600,000 in cash and issuing CAD $400,000 in Rock Tech common shares over a 24-month period. The payments are staged, with CAD $150,000 in cash and CAD $100,000 in shares payable on signing, and the balance payable in two additional tranches on the 12-month and 24-month anniversaries of the Option Agreement.</p>



<p class="wp-block-paragraph">The vendors will retain a 2.0% net smelter return royalty on the Victory Project. Rock Tech will have the right to purchase 1.0% of the NSR royalty for CAD $1.0 million at any time prior to a construction decision.</p>



<p class="wp-block-paragraph">Additional milestone payments will become payable only upon the publication of future NI 43-101 (defined below) compliant mineral resource estimates, if any, on the Victory Project, including CAD $500,000 upon publication of a maiden mineral resource estimate of at least 10 million tonnes grading at least 1.0% Li₂O, CAD $1.0 million upon publication of a measured and indicated mineral resource estimate exceeding 25 million tonnes grading at least 1.0% Li₂O, and CAD $1.5 million upon publication of a measured and indicated mineral resource estimate exceeding 50 million tonnes grading at least 1.0% Li₂O. The foregoing resource thresholds are contractual payment milestones only and do not constitute estimates of mineral resources or mineral reserves on the Victory Project.</p>



<p class="wp-block-paragraph">The transaction remains subject to customary conditions, including acceptance of the TSX Venture Exchange. Any common shares issued pursuant to the Option Agreement will be subject to applicable securities law resale restrictions and any hold periods required by the TSX Venture Exchange. The transaction is an arm’s-length transaction and no finder’s fees are payable in connection with the transaction.</p>

<p class="wp-block-paragraph">The Victory Project reflects Rock Tech’s continued commitment to investing in Ontario’s critical minerals sector. Together with the Georgia Lake Project and the proposed Red Rock Converter, the Victory Project strengthens the Company’s Ontario asset base and expands its portfolio of prospective lithium exploration properties.</p>



<p class="wp-block-paragraph">Rock Tech intends to advance the Victory Project through a staged exploration program focused on validating known spodumene-bearing occurrences, testing extensions along strike and evaluating the underexplored corridor between the Last Resort and Bounty occurrences.</p>



<p class="wp-block-paragraph">The Victory Project is an early-stage exploration property. While spodumene-bearing pegmatites have been identified at surface, there has been insufficient exploration to define a mineral resource and there can be no assurance that further exploration will result in the delineation of a mineral resource or that the Project will ultimately prove to be economically viable.</p>

<p class="wp-block-paragraph">Toronto, Ontario – May 19, 2026 – Rock Tech Lithium Inc. (TSX-V: RCK) (OTCQX: RCKTF) (FWB: RJIB) (WKN: A1XF0V) (the &#8220;Company&#8221; or &#8220;Rock Tech&#8221;) is pleased to announce the successful completion of its Ontario Critical Minerals Innovation Fund supported ore-sorting program for the Georgia Lake Lithium Project (“the Project”) in Northern Ontario. The Project is part of Rock Tech’s broader Ontario mine-to-converter strategy and, alongside the planned Red Rock Converter, supports the development of a domestic, made-in-Canada sovereign defence and battery materials supply chain.</p>



<p class="wp-block-paragraph">Completed in partnership with Queen’s University and STARK Resources, the ore sorting program evaluated UV Laser-based sorting from Optimum N.V. and X-ray Transmission (“XRT”) sensor-based sorting from allmineral Aufbereitungstechnik GmbH &amp; Co. KG for the pre-concentration of mineralized material from the Project (refer to Press Release – Rock Tech Lithium Receives $388,074 in Funding from Ontario’s Critical Minerals Innovation Fund, dated June 23, 2025).</p>



<p class="wp-block-paragraph">Test work was conducted on two sample sets: selected drill core used to establish and calibrate sorting algorithms, and a blended surface-derived sample used for small-scale testing. Testing was completed under controlled conditions at both ore sorting test facilities using pilot-scale equipment.</p>



<p class="wp-block-paragraph">The program indicates a pathway to improve process efficiency and reduce future capital and operating costs, which, if successful, could strengthen the long-term competitiveness of the Project and support a more resilient Ontario critical minerals supply chain.</p>



<p class="wp-block-paragraph">The results provide a foundation to restart key Georgia Lake development activities, including drilling, additional cost-optimizing engineering, and workstreams that support a future Definitive Feasibility Study.</p>

<p class="wp-block-paragraph"><strong>Government-Industry-Research Partnership Unlocks Ontario Critical Minerals Innovation</strong></p>



<p class="wp-block-paragraph">With support from the Ontario government, through the Critical Minerals Innovation Fund, Rock Tech worked with Queen’s University and STARK Resources, a Germany-based specialist in sensor-based ore sorting and mineral processing technology, to evaluate practical technologies that improve processing efficiency, reduce waste, strengthen the long-term competitiveness of the Project, and support Ontario’s efforts to build a more resilient domestic critical minerals supply chain.</p>



<p class="wp-block-paragraph">“The Critical Minerals Processing Lab is proud to have collaborated with Rock Tech Lithium and Stark Resources on this important project, which advanced our understanding of lithium mineral processing characteristics and contributed to the advancement of the Georgia Lake project” said Charlotte Gibson, Assistant Professor &amp; Associate Head for Robert M Buchan Department of Mining. “This innovative process development work was made possible through the support of the CMIF, whose investment is helping drive critical minerals processing innovation and strengthen Ontario’s critical minerals value chain.”</p>



<p class="wp-block-paragraph"><strong>Advancing the Next Phase of Development at the Georgia Lake Lithium Project</strong></p>



<p class="wp-block-paragraph">The results arrive at an important moment for Ontario’s critical minerals sector. While lithium markets have experienced near-term volatility, governments and industry across North America and Europe continue to move aggressively to secure regional battery and critical minerals supply chains.</p>



<p class="wp-block-paragraph">The Project was the subject of a 2022 Pre-Feasibility Study, which outlined a conventional mine and concentrator development concept based on a 1.0 million tonne per year concentrator. The 2022 PFS contemplated a 9-year mine life, targeted production of approximately 100,000 tonnes per year of 6% spodumene concentrate, and an Indicated Mineral Resource of approximately 10.6 million tonnes at 0.88 per cent Li₂O and an Inferred Mineral Resource of approximately 4.2 million tonnes at 1.00 per cent&nbsp; Li₂O.</p>



<p class="wp-block-paragraph">The PFS estimated a pre-tax NPV of USD$223 million, an after-tax NPV of USD$146 million, a pre-tax IRR of 47.8 per cent, and an after-tax IRR of 35.6%, based on an average life-of-mine SC6 price of USD$1,500 per tonne. The PFS also estimated pre-production capital costs of USD$192 million, life-of-project capital costs of USD$291 million, total life-of-project operating costs of USD$536 million, and AISC of USD$1,082 per tonne of concentrate (see Press Release <a href="https://rocktechlithium.com/?geo_file_download=2024/06/MInfoPFSSummaryReleaseENG_FINAL.pdf">&#8211; Rock Tech Lithium completes Pre-Feasibility Study for its Georgia Lake Project dated November 16, 2022</a>).</p>



<p class="wp-block-paragraph">Against this PFS baseline, the CMIF-supported ore sorting results indicate a potential pathway to further improve project economics in future technical studies. The observed 1.4x to 1.8x upgrade factor means that sorted material can carry materially higher lithium grade into downstream processing than the original feed stream, improving concentrator efficiency and potentially allowing lower-grade material to be considered in future mine planning scenarios.</p>



<p class="wp-block-paragraph">Similarly, the potential to reduce crushing and concentrator plant capital costs by up to 50 per cent is expected to be driven by a combination of ore sorting and plant specification optimization, providing an opportunity to optimize overall plant design. If confirmed through further engineering and study work, this could materially improve the capital intensity and investment case for the next phase of Georgia Lake development.</p>



<p class="wp-block-paragraph">As part of this renewed focus, Rock Tech has begun preparations for a potential future drilling program and the next phase of technical studies, including workstreams that could support a Definitive Feasibility Study. These activities would be designed to support resource growth, improve geological confidence, and provide additional data for future mine planning and project development work.</p>



<p class="wp-block-paragraph"><strong>Supporting Rock Tech’s Ontario Mine-to-Converter Strategy</strong></p>



<p class="wp-block-paragraph">The successful completion of the CMIF-supported ore sorting program strengthens this strategy by indicating a potential pathway to improve the cost structure and development flexibility of the Project. By reducing the amount of waste material processed through the concentrator, ore sorting may support lower operating costs, improve processing efficiency, and provide greater optionality in future mine planning and throughput scenarios.</p>

<p class="wp-block-paragraph"><strong>Next Steps</strong></p>



<p class="wp-block-paragraph">Building on the successful outcomes of the program, Rock Tech expects that a future value engineering phase would evaluate the combined impact of ore sorting integration, plant design optimization, and alternative execution strategies across the crushing plant, concentrator plant, and related infrastructure. The results of the CMIF-supported program are conceptual in nature and do not define final economic outcomes, mineral reserve estimates, or plant-scale design changes. Any potential impact on capital costs, operating costs, project economics, mineral reserves, or development plans will require further engineering, feasibility-level studies, and appropriate technical disclosure.</p>

These filings represent a significant and deliberate step in the Company&#8217;s strategic roadmap — which the Company expects may be used, subject to receipt and regulatory approvals, in connection with a potential NASDAQ dual‑listing through the Multi-Jurisdictional Disclosure System (&#8220;MJDS&#8221;), the established bilateral framework between Canadian and U.S. capital markets regulators.</p>



<p class="wp-block-paragraph"><strong>NASDAQ Dual-Listing Readiness via MJDS</strong></p>



<p class="wp-block-paragraph">Under the MJDS framework, eligible Canadian issuers may file a U.S. registration statement with the U.S. Securities and Exchange Commission (&#8220;SEC&#8221;) on Form F‑10, which is primarily based on Canadian disclosure documents, including the Company’s base shelf prospectus. This bilateral system substantially reduces regulatory duplication, cost, and processing time, which may streamline the disclosure process for a NASDAQ cross‑listing, subject to SEC effectiveness and NASDAQ approval. (TSX-V: RCK) (OTCQX: RCKTF) (FWB: RJIB) (WKN: A1XF0V) (the “Company” or “Rock Tech”)</strong> is pleased to announce a strategic partnership with the BMI Group Inc. (“the BMI Group”), a Canadian industrial infrastructure platform company, to develop Rock Tech’s lithium converter facility in Red Rock, Ontario, Canada (“the Project”).&nbsp;</p>



<p class="wp-block-paragraph"><strong>Strategic Partnership Structure and CAD $200 Million Investment</strong></p>



<p class="wp-block-paragraph">The partnership is expected to be structured as a general partner / limited partner arrangement, with Rock Tech controlling the general partner and the BMI Group acting as the lead limited partner and anchor investor. Under the proposed structure, Rock Tech will retain full control and responsibility for project development, engineering, and operations, as well as all key technical, commercial, and strategic decision-making.</p>



<p class="wp-block-paragraph">The BMI Group intends to invest CAD $200 million in the Project as part of a broader equity structure to be finalized as the Project advances. Rock Tech, together with additional partners, is expected to contribute additional equity capital over time. The joint objective is to build processing capacity in Canada — strengthening value creation, planning certainty, and supply security for North American industrial off-takers.</p>

<p class="wp-block-paragraph"><strong>Initial Funding to Advance Site Development and Feasibility Study</strong>&nbsp;</p>



<p class="wp-block-paragraph">To support near-term development activities, including a feasibility study, the parties intend to initiate a non-dilutionary funding program of up to CAD $30 million, which is expected to include contributions of both partners and government funding programs, whereby each dollar contributed by Rock Tech shall be matched by the BMI Group and government funding. This funding is targeted to advance engineering, environmental and permitting work, and early site development activities in preparation for a final investment decision by end of 2026.&nbsp;</p>



<p class="wp-block-paragraph">The Red Rock Converter is based on Rock Tech’s Guben, Germany project which is fully engineered, fully permitted, and designated as a Strategic Project under the EU Critical Raw Materials Act and where Rock Tech has invested over CAD $ 65 million to date. Leveraging this proven design is expected to reduce development timelines and execution risk and transfer proven technical know-how to Canada.</p>



<p class="wp-block-paragraph"><strong>Strategic Location and Infrastructure at Red Rock</strong></p>



<p class="wp-block-paragraph">The Red Rock Converter will be developed on the BMI Group’s industrial site in Red Rock, Ontario, approximately 100 km east of Thunder Bay and 60 km south of Rock Tech’s Georgia Lake lithium deposit. The 337-acre site benefits from established infrastructure, including approximately 120 MW of power capacity, access to natural gas, road connectivity and direct access to CPKC Rail’s transcontinental mainline, supporting efficient movement of materials and equipment.</p>



<p class="wp-block-paragraph">BMI Group’s industrial infrastructure platform is designed to support large-scale project deployment, enabling streamlined site development and reducing timelines from permitting through to construction. By combining Rock Tech’s lithium conversion expertise with BMI’s industrial infrastructure platform and international investor network, the partnership strengthens the Project’s positioning within Canada’s emerging critical minerals, industrial, and defence supply chains.</p>

<p class="wp-block-paragraph">At PDAC 2026, Canada’s largest mining expo, Rock Tech signed a partnership agreement with Siemens to provide state-of-the-art industrial automation technology and a full Digital Twin for the Red Rock Converter. The Digital Twin — a real-time virtual replica of the plant — will enable continuous performance optimization, predictive maintenance, and de-risked commissioning, consistent with the highest operational standards.&nbsp;</p>



<p class="wp-block-paragraph">The integration of this technology underlines Rock Tech’s commitment to delivering a world-class, future-proof industrial asset for Canada’s critical minerals value chain, that is fully replicable to scale production with the growing North American lithium demand. <p class="wp-block-paragraph"><strong>Toronto, ON, March 2, 2026</strong> – Rock Tech Lithium Inc. (TSX-V: RCK) (OTCQX: RCKTF) (FWB: RJIB) (WKN: A1XF0V) (the “Company” or “Rock Tech”) and Siemens Canada Ltd. (Siemens) are pleased to announce that they have signed a non-binding Memorandum of Understanding (MoU) laying the foundation for a long-term, multi-phase strategic partnership to develop state-of-the-art lithium conversion capacity. The signing took place at the Canadian Critical Minerals Forum hosted by Natural Resources Canada (NRCan) during Prospectors and Developers Association of Canada Trade Show and Convention (PDAC) – the world&#8217;s leading conference for the mining and minerals industry. At the core of the partnership is the application of Siemens&#8217; cutting-edge digitalization technology – in particular Digital Twin solutions – for the development, construction, and operation of Rock Tech&#8217;s planned lithium converter in Red Rock, Ontario.</p>



<p class="wp-block-paragraph">The partnership translates the strategic critical raw material cooperation between Canada and Germany into concrete, on-the-ground collaboration. Siemens brings German industrial and digitalization expertise to a Canadian flagship project built on the blueprint of the fully permitted, shovel-ready Guben converter in Germany. The public signing underscores the strategic importance of Red Rock for Canada&#8217;s efforts to build resilient and sovereign midstream capacity for critical minerals – and reinforces broader Canada-Germany cooperation aligned within the G7 critical minerals supply chain priorities. The parties intend to explore available funding opportunities to support deployment of Digital-Twin technology.</p>

<p class="wp-block-paragraph"><strong>Proven Blueprint Enables Accelerated Execution</strong></p>



<p class="wp-block-paragraph">The Red Rock converter will be developed based on the fully permitted and engineered facility in Guben, Germany. By transferring this blueprint to Canada, development timelines can be shortened, technical risks minimized, and capital efficiency increased. Leveraging the engineering and permitting work completed in Guben materially reduces execution risk and supports a more efficient path toward final investment decision in Canada. The planned production capacity of up to 32,000 tonnes of LCE per year would be sufficient to supply up to 900,000 electric vehicles annually.</p>

<p class="wp-block-paragraph">The cooperation is structured in multiple phases, initially focusing on the deployment of Digital Twin technology during engineering and in the feasibility study. <a>In the medium term, the parties are evaluating additional Siemens solutions, services and engineering support for the Red Rock converter, as well as the potential expansion of the cooperation to further projects in G7 member countries. </a>Joint applications for public funding will be pursued with NRCan, the Government of Ontario, and through Canadian-German cooperation programs.</p>

<p class="wp-block-paragraph">Rock Tech Lithium Inc. (&#8220;Rock Tech&#8221; or the &#8220;Company&#8221;) welcomes the Province of Ontario&#8217;s approval and launch of the CAD $500 million Critical Minerals Processing Fund (&#8220;CMPF&#8221;), a milestone initiative designed to accelerate the province&#8217;s critical minerals processing capacity and strengthen Ontario&#8217;s position in the global battery materials supply chain.</p>



<p class="wp-block-paragraph">Rock Tech&#8217;s proposed Lithium Conversion Facility (the &#8220;Converter&#8221;) in Red Rock, Ontario directly aligns with the CMPF&#8217;s mandate to support midstream critical minerals processing projects in the province. The Converter is designed to deliver domestic lithium conversion capacity for battery-grade products, reduce reliance on offshore processing, and anchor downstream investment in Ontario&#8217;s electric vehicle and energy storage supply chain.</p>



<p class="wp-block-paragraph">The CMPF represents a clear signal to global markets that Ontario is committed to scaling up processing capacity needed to support the energy transition. By enabling new critical mineral projects and midstream processing facilities, the fund will help catalyze investment, create jobs, and anchor long-term economic benefits across the province.</p>



<p class="wp-block-paragraph">As a technology company advancing its Georgia Lake lithium mining project and a lithium conversion facility in Ontario, located only about 60 kilometers apart, Rock Tech sees the CMPF as an important building block in establishing a regional and integrated lithium battery supply chain. The planned design of the Converter in Red Rock is directly based on Rock Tech&#8217;s fully permitted, shovel-ready converter in Guben, Germany, which was recently designated an EU Strategic Project under the European Critical Raw Materials Act (CRMA). This foundation gives the Converter a uniquely advanced and de-risked design — positioning it as one of the most technically mature lithium conversion projects in North America.</p>
